03Project-specific agreements

A signed proposal, invoice, statement of work, order form, service agreement, or maintenance agreement may contain project-specific terms.

Where those terms conflict with these general website terms, the signed project-specific agreement controls for that project.

04No guaranteed business results

AI Design Gen does not guarantee:

  • A particular level of website traffic
  • Search-engine ranking
  • Lead volume
  • Sales
  • Revenue
  • Conversion rate
  • Social-media growth
  • Advertising results
  • Business profitability
  • Approval by a third-party platform

Results depend on many factors outside the company's control, including market conditions, competition, pricing, offer quality, and third-party platform decisions.

05Client representations

The client represents that all materials supplied for use are:

  • Owned by the client
  • Properly licensed
  • Accurate
  • Lawful
  • Non-infringing
  • Authorized for publication

The client is responsible for claims arising from unauthorized content they provide.

06Project approvals

Client approval of:

  • Designs
  • Layouts
  • Text
  • Images
  • Branding
  • Functionality
  • Final proofs

constitutes authorization to proceed. The client is responsible for reviewing spelling, pricing, contact information, legal claims, service descriptions, and factual accuracy before publication.

07Revisions

The number of included revisions is governed by the applicable proposal, package, invoice, or agreement.

Additional revisions or major scope changes may require additional fees.

08Scope changes

Any work outside the original scope may require:

  • A new quote
  • A change order
  • Additional payment
  • An extended delivery timeline

09Project timelines

Timelines are estimates and may be affected by:

  • Delayed client responses
  • Missing content
  • Scope changes
  • Third-party outages
  • Platform limitations
  • Technical issues
  • Force majeure events
  • Delayed approvals

10Website availability

Uninterrupted website availability cannot be guaranteed. Websites commonly rely on third-party hosting, domain, database, email, integration, and infrastructure providers whose availability is outside our control.

11Limitation of liability

To the maximum extent permitted by law, AI Design Gen is not liable for indirect, incidental, special, consequential, or lost-profit damages resulting from:

  • Platform suspension

  • Client-supplied content

  • Failure to maintain subscriptions

Nothing in these terms attempts to limit or waive liability that cannot lawfully be limited or waived.

12Indemnification

Clients agree to defend and hold the company harmless from claims resulting from:

  • Client-provided content
  • Copyright infringement
  • Trademark infringement
  • False advertising
  • Unlawful business practices
  • Unauthorized data collection
  • Client misuse of the completed website

13Governing law

The governing state and county are configured in the site administration settings and have not yet been confirmed for publication. Until confirmed, the governing law for a given engagement is the jurisdiction stated in that project's signed agreement.
